This Terms and Conditions web page is a legal agreement between Ashish H. Thakkar (Jimmy Thakkar) from Mumbai, hereafter the “designer” or “we”, and the buyer of product/service from the designer, hereafter referred to as the “client” or “you” for the purposes of web design, graphics design, website development, AI development and SEO.
1. Client Rights & Need To Know
Before the client pays the advance amount, it is best for him/her to know all the details in advance so that no surprises come along.
A. Your website is going to be done in Html or CMS with premium theme?
Before you pay the advance fee make sure of the package and type of website you have ordered. Clarify all details; if you are not sure then ask the designer via email as to how the website is going to be done and how will the client manage the site later on.
B. Responsibility of the client:
Provide text content, logos and image for the website. If not, then text content is $4 per article or INR 350. For logo designing and graphics designing please check the price list mentioned on the pricing page:

You agree to:
- Provide accurate, complete, and timely information required for project completion.
- Ensure all provided content (text, images, etc.) is owned by you or properly licensed, and does not infringe third-party rights.
- Review and approve deliverables in a timely manner.
Delays caused by the client may affect timelines and costs. Failure to fulfill these responsibilities may result in project delays or additional charges.
C. Each website costs different:
The look, feel and functionality of a 6000 Rs website will be different compared to 15000 rupees costing ecommerce website and the look, feel and features of that website plus design will be different compared to 50,000 rupees costing custom made website.
Please discuss all possibilities before ordering website design.
D. Hiring for a project or on hourly basis
If the project work is for 15 days, then project should get over in 15 days. There will be no delay from the designer’s end. If the designer delays the work by more than 48 hours’ time, then the client can ask and is entitled to a full refund (provided the designer has got all content* and details required for the project).
*Please keep content ready for the website. Designer is not liable for delays caused by client inactions. Do not send content to the designer every 5 days. The designer has allotted time to you (client) for the completion of project; this involves sometimes turning down other projects so that the project of the client is completed on time – Failure to provide information which was discussed at the start of the project can cause delay in project. Once the contract period expires the designer can charge you per hour or can quote per requirement.
2. All quotes remains valid for 72 hours only.
3. Support:
30 days of free support is given after website has been designed. After that the designer is not responsible for the maintenance of the website (unless the terms have been discussed for Annual Maintenance Contract [AMC]). The free support does not include any new work or design. The support includes fixing bugs on the site and rectifying any errors that are found in the design or the content of the website that were created by the designer.
Free complimentary training (once – max 1 hr.): Once the website is done the client (if required) will be taught how to manage the website (add/edit content) by the designer.
4. Backup – The backup is the responsibility of the client unless mentioned otherwise by the designer. Original backup of the site made by the designer will be available free of cost for a period of 30 days after the site is designed. If the hosting is taken from the designer, then backup is available for 30 days – backup is taken once a day.
5. Recurring cost:
Website design is one time cost only. Cost for hosting and domain name is annual. Renewal charges for hosting and domain may be different. Please confirm before you opt for the services.
Example: Domain name registration fee could be INR 850 but renewal fee may be INR 1500.
Note: Designer is not a domain registrar. Third party sites like GoDaddy and Bigrock may be used to register and renew the domain.
6. Additional cost
A. Additional service:
Any additional service or extra work done is chargeable. Multiple revisions and addition of modules to add functionality to the site also comes under this category. Discuss in advance with “designer” to clear out all needs and requirements in advance.
B. Additional Expenses:
Client agrees to reimburse designer for any additional expenses incurred for the purpose of the job. Examples here would include purchase of domain, third party hosting, themes, stock photos, third party scripts and software, etc. Additional expense will be discussed with client beforehand.
7. Standard packages:
The client is to pay to the designer for standard packages for website design which are based on themes and premium templates. For any custom designing or development, the cost is INR 10,000 (USD 111) per hour.
8. Hosting: Email ids are provided free of cost (if hosting is bought from the “designer”).
With Hosting: No additional cost for database.
9. Completion date:
All content and data should be kept ready and should be updated on the site before the completion of work. The date of completion (number of days required to complete the job) shall be provided during the quote. Within 48 hours of completion of work, the payment should be made to the designer. Late payment charges will be levied to the client if there is a delay of paying the balance amount. There is a five percent penalty for late payment of fees. If there is more than 48 hours of delay by the designer in finishing the job, then the client can ask for a full refund (see point 1D).
10. Ownership of work:
Once the website is completed and the payment has been made then the entire work is handed over by the designer to the client, which also includes login details of the website. Any graphics design, and content of the webpages is also owned by the client. The client however does not have the resell rights to any premium theme that may have been used for designing the website. Designer retains ownership of pre-existing tools, templates/themes (if paid by the designer), and software code. See point number 16 for intellectual property rights.
11. Privacy:

12. Payment:
50% of advance payment is required before the website designing work is started. Balance 50% after the work is completed. Full payment in advance is required for search engine optimization and logo design.

13. Cancellation & Refunds:
Money back guarantee: If you do not like the hosting features or speed of the hosting provided to you then you can cancel the hosting services in 14 days’ time and get a 100% refund.
If you do not like the initial design presented to you then you can ask for an alternate design. If you do not like both the designs presented to you then you can request a refund (advance payment will be refunded to you). If website design & web development work has been started after the initial design is approved, then the advance payment is non-refundable.
Advance money can’t be refunded also if the work** is started but the home page design is not completely made.
**The work includes creating a design concept, WordPress installation, determining the look and feel for the client’s website and putting it in digital format.
Note: Once the website home page look is approved then the whole website will work on the same look and feel.
No refunds in SEO (unless a ranking is guaranteed for a particular keyword and the designer has not been able to achieve the discussed ranking spot in the given period of time).
No refunds after 30 days (unless the designer has not been able to deliver [see point 1D]).
14. Communication:
WhatsApp and phone calls are best for emergencies but otherwise all work-related matters should be kept to emails. All work requirements need to be discussed and confirmed via email; this includes information on domain registration, editing text information of the website and changes in website’s design.
15. Meeting requirement:
Meeting can be arranged at Dadar, Mumbai before the start of the project or during the project. The designer can also visit the client for the purpose of discussing the project requirement in Mumbai. If the meeting is required only to discuss the pricing or check the portfolio of the designer, then that would only be a waste of time for client as well as the designer. The pricing can be shared via email and the graphics or the links for portfolio can be shared without having to meet up in person. Read this article to understand more.
16. Intellectual Property:
Unless otherwise agreed in writing, all tools, frameworks, source code templates, methodologies, AI models, and processes used remain intellectual property of the designer.
16a. Portfolio Use
We reserve the right to display completed work in our portfolio, website, and marketing materials unless otherwise agreed in writing.
17. AI Services Disclaimer
AI-generated outputs may contain inaccuracies or unexpected results.
We do not guarantee AI outputs will be error-free, compliant, or fit for all purposes.
The client is responsible for reviewing and validating all AI-generated content before use.
We are not liable for decisions made based on AI-generated outputs.
18. SEO Disclaimer
Client acknowledges that:
Search engine rankings are not guaranteed
SEO results depend on many factors outside our control
We do not control search engine algorithms or third-party platforms
19. Maintenance and Support
Website maintenance services may include updates, backups, security monitoring, and minor fixes as outlined in your agreement. We are not responsible for issues caused by third-party plugins, third-party hosting providers, or unauthorized modifications.
20. Third-Party Services
Our Services may integrate or rely on third-party tools, platforms, APIs, or hosting providers. We are not responsible for outages, changes, or failures caused by third parties.
21. Confidentiality
Both parties agree to keep confidential information private unless disclosure is required by law or permitted in writing.
22. Indemnification
You agree to indemnify and hold harmless designer from any claims, damages, or expenses arising from:
Your misuse of our services.
Content or data you provide.
Violation of applicable laws or third-party rights by client.
23. Termination
We reserve the right to suspend or terminate services if:
These Terms are violated.
Payments are overdue.
The client engages in unlawful or abusive behavior.
Upon termination, all outstanding fees become immediately due.
